Legal due diligence

Legal due diligence answers a simple question: what is the client actually buying, or who are they actually dealing with. The risks it turns up either bring the price down or stop the deal — and it is the cheapest part of the process.

When to get in touch

What the lawyer does

  • checks the corporate structure, the constitutional documents and the history of decisions
  • analyses title to the key assets and any encumbrances
  • assesses the contract portfolio and the obligations to counterparties
  • checks litigation, enforcement proceedings and tax risks
  • analyses employment relationships and arrangements with key personnel
  • produces a report listing the risks with recommendations for dealing with them

Legal basis

The review covers the data in the Unified State Register of Legal Entities, Individual Entrepreneurs and Public Formations, which is maintained under the Law of Ukraine “On State Registration of Legal Entities, Individual Entrepreneurs and Public Formations”, and the company’s corporate documents so far as the Law of Ukraine “On Limited Liability and Additional Liability Companies” is concerned (in particular resolutions of the company’s bodies, Articles 28–34, and significant transactions, Article 44).
